Terms of Service

ValueArchitect.ai — Effective April 2026 — Alpha Phase

These Terms of Service ("Terms") govern your access to and use of ValueArchitect.ai ("the Service"), operated by Soft Solutions Partners LLC ("we," "us," or "our"). By accepting these Terms — including by clicking "I agree" during registration — you agree to be bound by them. If you are accepting on behalf of an organization, you represent that you have authority to do so.

1. Alpha Phase — Important Notice

ValueArchitect.ai is currently in Alpha. This means the Service is functional but under active development. Features may change, be added, or be removed. The Service may experience downtime. We make no guarantees of uptime, feature continuity, or fitness for any particular purpose during the Alpha phase. Alpha access is provided free of charge in exchange for your feedback and patience as we develop the product.

2. Eligibility and Access

The Service is available by invitation only. You must be invited by Soft Solutions Partners or by an authorized organization administrator to access the Service. You must be at least 18 years old and authorized to represent your organization in accepting these Terms.

We reserve the right to revoke access at any time, with or without cause, during the Alpha phase. We will make reasonable efforts to provide notice before revoking access except in cases of policy violation.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@softsolutionspartners.com if you suspect unauthorized access to your account.

You may not share your account credentials with others. Organization administrators may invite additional users through the Service's built-in invitation system.

4. Your Data and Data Ownership

You retain full ownership of all data your organization enters into the Service. We do not claim any intellectual property rights over your data.

By using the Service, you grant us a limited license to store, process, and transmit your data solely for the purpose of providing the Service to you, including transmitting relevant data to our AI processing provider (Anthropic) to generate reports and analysis you request.

We will not use your data for any purpose other than providing the Service, and we will not sell your data to third parties.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Enter, upload, or process Protected Health Information (PHI) during the Alpha phase
Attempt to gain unauthorized access to other organizations' data or to the underlying infrastructure
Use automated means to scrape, extract, or copy data from the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Resell, sublicense, or otherwise provide access to the Service to unauthorized third parties
Use the Service to store or transmit malicious code

6. AI-Generated Content

The Service uses AI to generate reports, assessments, and recommendations based on data you provide. You acknowledge that:

AI-generated content may contain errors, inaccuracies, or omissions
AI-generated content does not constitute legal, financial, medical, or professional advice
You are responsible for reviewing and validating all AI-generated content before acting on it
We are not liable for decisions made based on AI-generated content

7. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by Soft Solutions Partners LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited right to use the Service as described herein.

Feedback you provide about the Service may be used by us to improve the Service without compensation or obligation to you.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent. "Confidential information" means non-public information designated as confidential or that a reasonable person would understand to be confidential given its nature.

You acknowledge that the Service itself, including its features and roadmap, constitutes our confidential information during the Alpha phase.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

PENDING LEGAL REVIEW: The warranty disclaimer language should be reviewed by counsel for completeness and enforceability in your jurisdiction and the jurisdictions of your anticipated users.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFT SOLUTIONS PARTNERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, BUSINESS INTERRUPTION, OR LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM (WHICH DURING THE ALPHA PHASE IS $0).

PENDING LEGAL REVIEW: Limitation of liability clauses vary significantly by jurisdiction and may not be fully enforceable in all locations. This section requires attorney review before use with regulated-industry clients.

11. Data at End of Alpha

At the conclusion of the Alpha phase, we will provide participants with at least 30 days notice and the following options:

Continue as a paying customer under updated terms
Export all organization data in a machine-readable format
Request complete deletion of all organization data

12. Termination

Either party may terminate access to the Service at any time. Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export requests, after which it will be deleted unless legal obligations require longer retention.

13. Governing Law

These Terms are governed by the laws of the State of [STATE], United States, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms as the Service evolves. We will notify active users of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
